1. General Provisions

• 1.1 Operating Entity: This electronic signature application (“Application”) is operated and provided by Zeonix Global, including its subsidiaries, affiliates, successors-in-interest, and permitted assignments (“Company,” “we,” “our,” or “us”).
• 1.2 Acceptance of Terms: Your (“User,” “you,” or “your”) access to and use of the Application is governed by these Terms and Conditions (“Application T&C”) and the Zeo Sign Privacy Policy. By clicking “I Agree,” authenticating via PIN/credentials, or accessing the platform, you agree to be legally bound by these terms. The Privacy Policy details our practices concerning the collection, use, retention, and protection of your personal data.
• 1.3 Identity Verification Providers: The Application integrates third-party identity verification and authentication service providers (“Identity Verification Providers”) to enable electronic signing and document validation (“Services”). Legal frameworks and evidential weight may vary depending on the chosen Identity Verification Provider.
• 1.4 Third-Party Terms: Your interaction with any Identity Verification Provider may be governed by independent terms and privacy frameworks established by that provider.
• 1.5 Binding Assent: If you do not understand, agree with, or consent to any provision of these Application T&C or the Privacy Policy, you must immediately discontinue use of the Application.
• 1.6 Electronic Record Compliance: This document is an electronic record published under the provisions of the Information Technology Act, 2000, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended). This electronic record is generated by a computer system and requires no physical or digital signature.

2. Account Registration and Use of Zeo Sign

• 2.1 Account Classification: Users may establish an Individual Account or a Business Account. Accounts may be upgraded or downgraded based on available plans. Business Accounts allow administrative management over linked individual user profiles.
• 2.2 Service Tiers: Basic access to the Services is provided at the Company’s discretion. Advanced functionalities are available via paid subscription tiers (“Paid Services”).
• 2.3 Electronic Records & Account Responsibility: You may upload files, forms, and documents (“Your Electronic Records”) for execution. You are solely liable for all activities under your account. Business Account administrators are directly responsible for actions taken by linked individual accounts. All transactions generate a verifiable audit trail.
• 2.4 Integrity and Storage: Zeonix Global does not store, duplicate, or alter Your Electronic Records outside the platform without explicit authorization, maintaining full document integrity.
• 2.5 Document Ownership & Retention: You retain full ownership of Your Electronic Records. Deleted records are retained in a recoverable state for 30 calendar days, after which they are permanently purged. Permanently purged files cannot be recovered; however, previously executed copies downloaded by counterparties will remain in their possession.
• 2.6 Identity Linking & Data Processing: To authenticate signatories and link identities to executed documents, the Company processes personal and sensitive personal data. Specific data requirements are determined by the selected Identity Verification Provider. Users must review third-party policies directly; Zeonix Global assumes no responsibility for external provider policies.

3. License Grant and Acceptable Use

• 3.1 Limited License: Zeonix Global grants you a limited, revocable, non-exclusive, non-transferable, worldwide license to install and use the Application strictly in accordance with these Application T&C.
• 3.2 Prohibited Exploitation: You shall not license, sell, lease, sublicense, distribute, host, outsource, disclose, reverse-engineer, or commercially exploit the Application.
• 3.3 Intellectual Property Restrictions: You agree not to copy, modify, or use proprietary assets, interface designs, or software code outside the express permissions of these terms.
• 3.4 System Integrity: You shall not take any action that damages, disables, overburdens, or impairs platform infrastructure or disrupts other users’ access.
• 3.5 Unauthorized Automation: Deploying automated scripts, bots, spiders, scrapers, or unauthorized hardware/software tools to interact with the platform is strictly prohibited.
• 3.6 User Eligibility: You are prohibited from using the Services if you:
  • Have been convicted of an offense under applicable penal codes;
  • Are legally barred from receiving digital services under Indian law; or
  • Are under 18 years of age.

4. Paid Services and Billing

• 4.1 Subscriptions: Upgrading to Paid Services requires selecting a subscription plan (“Paid Plan”) and remitting the applicable subscription fees (“Subscription Fees”). Services are subject to the specific limits and features of the selected Paid Plan.
• 4.2 Invoicing and Discrepancies: Billing details, receipts, and invoices are accessible via your account settings. Billing inquiries and dispute notifications must be submitted via the support portal on zeosign.com.

5. Cancellation and Refund Policy

• 5.1 Non-Refundable Fees: To the maximum extent permitted by applicable law, all paid Subscription Fees are non-refundable. The Company provides no prorated refunds or credits for partially used billing cycles or unutilized quotas. Subscription cancellation instructions are detailed in the platform support section.

6. Intellectual Property Rights

• 6.1 Proprietary Ownership: Zeonix Global retains all worldwide rights, title, interest, and intellectual property in and to the Application, underlying source code, object code, platform architecture, and interface designs. Any feedback, enhancement requests, or recommendations submitted by Users automatically become the exclusive intellectual property of the Company without obligation of compensation.

7. Limitation of Liability and Disclaimers

• 7.1 Exclusion of Indirect Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEONIX GLOBAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, WORK STOPPAGE, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE APPLICATION.
• 7.2 User Environment: Users are solely responsible for procuring and maintaining required network connections, compatible hardware, and internet connectivity.
• 7.3 Uploaded Content Indemnity: Users assume full liability for the legality and content of Your Electronic Records and agree to indemnify the Company against any damages resulting from illicit, infringing, or unauthorized uploads.
• 7.4 “As-Is” Warranty Disclaimer: THE APPLICATION AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ZEONIX GLOBAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• 7.5 Third-Party Actions: The Company assumes no liability for unauthorized access resulting from compromised user credentials, altered transmissions, or third-party service interruptions.
• 7.6 User Negligence: Zeonix Global is not liable for service delivery failures caused by unnotified profile changes, device transfers, user misrepresentation, fraud, or negligence.
• 7.7 Regulatory Suspension: The Company reserves the right to immediately suspend Services without liability if continued operation violates emerging statutory, regulatory, or administrative guidelines.

8. External Links and Third-Party Services

• 8.1 Linked Portals: Hyperlinks or embedded third-party interfaces (“Linked Sites”) are provided for convenience only. Zeonix Global does not control, endorse, or verify the content or security of Linked Sites.
• 8.2 Independent Engagements: Direct dealings, transactions, or promotions entered into with third parties found via the Application are exclusively between you and the third party.
• 8.3 Governing External Policies: Use of third-party platforms remains subject to those platforms’ respective terms and privacy declarations.
• 8.4 Privacy Disclaimer: Zeonix Global disclaims liability for data collection, processing, and retention practices executed by external operators.
• 8.5 Modification of Links: The Company reserves the right to disable, modify, or remove any third-party link at its sole discretion.

9. Confidentiality

• 9.1 Proprietary Information: Any non-public technical specifications, software logic, system workflows, and operational capabilities disclosed via the platform constitute confidential information of Zeonix Global.
• 9.2 Non-Disclosure: Users shall not disclose, reproduce, or distribute such proprietary information to any third party without prior written authorization from the Company.

10. Suspension and Account Termination

• 10.1 Voluntary Termination: You may discontinue use at any time. Terminating a Paid Plan downgrades the account to a standard profile until full account closure is requested.
• 10.2 Validity of Executed Records: Termination of this agreement does not invalidate or affect legal signatures executed prior to termination.
• 10.3 Account Deletion & Dormancy: Deleting an account initiates a 30-day retention window. If an account remains inactive or unaccessed for 30 consecutive days following a deletion request, the Company may permanently remove all account data. Logging in during this window cancels deletion.
• 10.4 Termination with Notice: The Company may terminate or suspend access with reasonable notice if you breach these terms, create technical or security risks, or violate applicable law.
• 10.5 Immediate Termination: Immediate termination without prior notice may occur in cases of material breach, statutory compulsion, or when continued access exposes the platform to immediate legal exposure.

11. Platform Modifications and Updates

• 11.1 Revisions to Terms: Zeonix Global reserves the right to update these Application T&C, pricing models, and service parameters. Material updates will be published on the platform.
• 11.2 Service Adjustments: The Company may convert free features to paid tiers or modify subscription allocations upon prior notification in accordance with applicable legal standards.
• 11.3 Feature Lifecycle: Features, functionalities, and tools may be added, adjusted, or discontinued at the Company’s discretion.
• 11.4 Software Updates: To maintain compatibility, security, and service integrity, the Application may automatically download and install system patches, bug fixes, and version updates (“Updates”).

12. Service Levels

• 12.1 While service availability depends partially on third-party verification networks, Zeonix Global will make commercially reasonable efforts to deliver continuous 24/7 service availability, excluding scheduled maintenance windows announced in advance.

13. Governing Law and Dispute Resolution

• 13.1 These Terms and Conditions are governed by and construed under the substantive laws of India. Any legal action, suit, or proceeding arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.

14. Indemnification

• 14.1 You agree to defend, indemnify, and hold harmless Zeonix Global, its directors, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
  • Your use or misuse of the Application;
  • Breach of these Application T&C or the Privacy Policy;
  • Violation of applicable laws or third-party proprietary rights.

15. Force Majeure

• 15.1 Zeonix Global shall not be held liable for failure or delay in platform availability caused by events beyond reasonable control, including acts of God, war, civil unrest, natural disasters, epidemics, strikes, utility failures, telecommunication line breaks, or infrastructure outages.

16. Severability

• 16.1 If any provision of these terms is held unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity, legality, and enforceability of the remaining provisions.
